this is going to be for my dell xps 400 with 375watt psu, just going to use the video card for photoshop, high quality videos, hulu full screen, streaming etc.

experience tells me that XFX generally make higher quality video cards, and saphire tend to make reference boards., however passive cooling might sound more attractive to certain people who are picky about noise. either way, i dont see much difference between the two

ddr3 will run cooler than the ddr2, hence this might contribute to the reason why the saphire board is passively cooled. however, neither with have an effect on compatibility with your machine.
