The best cards within your budget are the HD4670 and the 9600GT. The 9600GT is slightly more powerful and either are several times better than your current card.

What about your PSU? brand? model?

The PSU is very important in figuring out which video cards can run on your system. Without that information the most I would be comfortable recommending is an HD4650 or HD5570. They are ok for gaming at low resolutions and much better than your current card.
The other card mention in the thread are better however so you should tell us what PSU you have so we can tell you if they will work.
FYI the 9800GT is the best of the cards mentioned if you can afford it. Compared to your 8400GS it is approximately 6 times more powerful for gaming.

You're not providing enough information for anyone to give you a decent suggestion. Your PSU information is very important. Knowing the resolution you play your games on is also good information to determine the best value card so you don't overspend on something you don't need. You have a lot of upgrade options with $120 but other information is needed.

He doesn't actually have $120, he has 5000 rs which is currently worth $105 but prices are different in India anyway.

For something that will play the most intensive games on high setting for another 2 years you should be looking more in the area of an HD5770/HD4870/GTX 260(only the HD5770 is likely to work on your current PSU.)
If you can't afford those then get the GTS 250. On your PSU I would probably try to find one with only 1 power connector. An HD4850 would be another option if it is cheaper.
The 9800GT will be good for your resolution for now but even the most intensive current games will make it struggle with the settings maxed. So for something that will last you 2 years you should go for the GTS 250 which is approximately 25% faster.
When picking a card I would go mainly based on price. The main differences between the various cards will be the warranty and cooler. These cards will also have varying memory sizes but at your resolution they won't really be a benefit from more than 512mb.

You should avoid DDR2 cards. The graphics memory doesn't have anything to do with your motherboard so don't worry about that.
For a DX11 card you will want either the HD5670(about equal to the 9800GT) or the HD5750(about equal to the GTS 250/HD4850). DX11 isn't necessary though. It will be several years before they make DX11 exclusive games, likely not until there are new consoles.

Your motherboard is fine for all these cards except for maybe PCI-E 2.1 cards(some HD5750s, all HD5670s.) If there is a recent BIOS update than even those are likely fine.

so pls give me the final verdict in regard to the gfx .. with following ans.. i request u all ..gamers..
which one to buy?
which company... like zotac, sparkle, palit etc.. and model like xfx or gtx or gts.. to buy gfx..?
will it complete my expectation of next 2 yr gaming with nice fps and high detail gfx?
and ddr 2 or dd3
and 1 gb or 512 gb?

Like I said you want to avoid DDR2 and the amount of memory doesn't matter.
The 9800GT will be pretty good at your resolution but for "next 2 yr gaming with nice fps and high detail gfx" you really want at least something more like an HD5750/GTS 250/HD4850 and optimally you would want an HD5770.
