CPU Heat sinks

I want to upgrade my CPU from an AMD Athlon X2 6400 to an AMD Phenom X4 965.
I have a Zalman CNPS 8000 heat pipe cooler now. Would it be adequate to cool this new chip?

the stock heatsink is adequate as long as you arent overclocking. sooo...uh yeah? hehe.

I just installed a Gigabyte MA770-US3 when my Asus M2N32-SLI video went out. I have not overclocked it but I was thinking of possibly overclocking the new 965. Not really sure if I need to. Video card is an Nvidia GT240 w /1GB ddr3.
