Xeon E5640 or W3565 for streaming video

I will be purchasing a PC with the goal of streaming live 720p video using Flash Media Encoder to stream to Wowza Media Server. My current computer, which was more of a initial testing setup is maxing out the CPU and I am looking to upgrade. My question is should I get a Xeon E5640 running at 2.66 or an older architecture Xeon W3565 running at 3.2?

I am buying this for a business through Dell so I am limited to these CPUs.
