ok i have decieded to upgrade my pc to c2d but i have a budget of only 150$
so what would be the best mobo and cpu for the value....i dont intend to highly overclock but a bit ....
the mobo must have a pcie slot, atleast 2 sata ports,4 usb ports,(onboard video not required.)
the pc would be used for downloading, some gaming, watching hd movies.and desktop computing..

This an idea of whats out there, the best I could do with 4gb of ram was 160.00, pretty nice for the money IMO.

Friends don't let friends buy Celerons [for gaming].
This is the lowest I'd go:

Modern tech. The cheaper ones will have nForce chipsets that limit HT speed and/or require use of older, slower RAM.
ASRock 880GM-LE AM3 AMD 880G Micro ATX AMD Motherboard
Model #:880GM-LE
Item #:N82E16813157199
$59.99 $59.99

Something to upgrade when budget allows, still this CPU will handle many things quite well.
AMD Athlon II X2 255 Regor 3.1GHz Socket AM3 65W Dual-Core Desktop Processor ADX255OCGQBOX
Model #:ADX255OCGQBOX
Item #:N82E16819103844
$62.99 $62.99

Single channel due to budget, but another stick will be easy enough to add as upgrade #1.
Mushkin Enhanced 2GB 240-Pin DDR3 SDRAM DDR3 1333 (PC3 10666) Desktop Memory Model 20-146-744
Model #:991586
Item #:N82E16820146744
$29.99 $29.99

Subtotal: $152.97

Barring special deals, any less and you risk being way too shortsighted buying limited performance, upgrade caps, or other reasons you'll kick yourself for buying it within the month.

Edit: Here's a relevant comparison: http://www.anandtech.com/bench/Product/121?vs=66
Newegg has the E5400 which will be slightly faster than the listed E5200, but it will probably still lose in most benchmarks (likely not by much) and cost $6 more. And, Socket 775 is obsolete.
