No post/no video - completed the checklist

This is a new build with all new components.

System
CPU - AMD Athlon II X3 440 3.0GHz Triple-Core AM3 95W
MB - ASRock M3A770DE: Socket AM3, 770 Chipset, ATX
RAM - G.SKILL 4GB (2 x 2GB) DDR3 1333
Video card - Sapphire Radeon HD 5770 1GB
HD - Samsung F3 500GB SATA II 3.0Gb/s
DVD - LITE-ON Black 24X SATA CD/DVD Burner
PSU - SeaSonic S12II 520W 80PLUS BRONZE Certified
Case - Rosewill CHALLENGER ATX 2 x 120mm + 1x 140mm fans
Cooling - AMD CPU Stock Cooler included with CPU
OS - Windows 7 64 bit

History
Installed all hardware and did not get any boot/video. Came to this website and read through troubleshooting guide and performed all the steps.
Major trouble shooting steps:
1. Tested PSU output with digital multi meter according to no boot/no video checklist. All voltages check out when shorting the green and black wire. Also got 12V on yellow when I connected the PSU to the MB with both connectors.
2. Tried to power up with no RAM, no video - result was no beeps from speaker.
3. Tested speaker using a 1.5 volt battery to make sure it was operating - no problem found with speaker.
4. CPU fan is plugged in and working.

What should I do next? Is it a potential MB or CPU issue? Is there a way to narrow it down before shipping the products back to exchange?

Breadboard it (CPU/RAM/PSU/Mobo only, no case, no HDD). If still no response, but PSU is good then its almost certainly the Mobo.

Test another working PSU or try this PSU on another computer to be sure.

Considering the brands, the mobo certainly is the most suspect part.

It was a bad mobo. Got a replacement and all is well.
