Budget motherboard for amd phenom II x4 965

i am planning to replace my C2D e7500 with a better gaming CPU. i have zeroed on the Phenom II X4 965 due to limiting budget however need to find a budget mobo to match. also should i upgrade to DDR3 ram or will my 4gb dual channel 800mhz ddr2 ram will be enough for the config.
also i will be looking to overclock the cpu and i have 2 coolers in mind for in around same price range, cooler master hyper 212 and cooler master hyper n520, the n520 has better design but the 212 has better air flow and reviews for it are better.

You should give a rough estimate of what your budget for your motherboard is. The 4GB of RAM I have in my computer cost about 33USD at the moment so it wouldn't be too expensive to upgrade to DDR3 ram.

Do you ever plan to run either crossfire or sli? I would check for clearance in you case to make sure the coolers would fit.

i have cooler master elite 430 black cabinet with enough room for after market cpu cooler, also i can spare about $100 for motherboard and yes i am looking for an am3+ board for future bulldozer upgrade.
i think i will go for 4gb dual channel 1333 ddr3 memory.
