well the top one would be better because it supports crossfire the asus board does not.
gigabyte has on board graphics which is kinda cool but you need to know how to turn it off if ur running a high end gpu.(such as a gtx 560) but asus has way cooler features like MEM OK
but i guess since ur shooting for gaming go with the gigabyte 1

Gigabyte warranty is much better than Asrock, 3yr vs 1yr. All things being equal, I would get Gigabyte over Asrock any day.
In this case, however, that Asrock is AM3+ which is better because it will support newer CPUs.

whats ur price range and what cpu u have ill look for one and i wouldn't go with the asrock one

Id try to get an ASUS or Gigabyte AMD 970 board. You will get native SATA 3.0 ports and USB 3.0. The AM3+ socket will give you the capability to go with Bulldozer CPUs. You should definitely try to get at least DDR3 1600 MHz if possible.
