well,i don't know about gta 4 but i was able to play batman AA on my rig at 800x600 with everything on low with a 6150se.i have even ran games like prototype ,transformers2,bionic commando with my rig.though they were not playable.so don't you think an hd 4670 will give me playable framerates at 1024x768 with medium settings.if not then can you suggest me a reliable software to OC my 2.1 ghz CPU?????

Are you sure there's no option in BIOS to OC your CPU?
Well, i don't know any software that gives you the feature to OC CPU...

I guess you can get a decent playable framerate at 1024x768 with med setting, but not at 1280x1024.

GTA 4 is poorly optimized as wa1 said, so you have to play it on low settings, however for batman, definitely download its patch,it will give you a good boost in performance and improves the FPS, so you can play it fine on medium-low settings.
