Looking to upgrade my computer

Alright, in 2006 this thing was awesome! But now it has aged really badly... I've looked into overclocking, but my motherboard is really terrible for it. My last hope is to upgrade this. Here's what I have.

Current Processor: Intel Core Duo E6400
2.13ghz, although I've managed to overclock it to 2.4ghz whenever my bios screen says the overclocking doesn't fail.

Motherboard: Asus P5LD2-VM
Pretty old motherboard. Absolutely terrible for overclocking. Don't think it accepts DDR3 ram, and it won't eat any i3s.

Video Card: GeForce 7600 GS
Overclocked it a little bit, but not anything noticeable. Know 100% that this thing has got to go.

1.5 gigs of DDR2 ram
Used to have 2 gigs of ram, but something died. XP


My motherboard accepts socket 775, so no awesome i5s or i7s (I really wanted that 6 core amd black edition thing that has gotten pretty cheap recently... but it's not going to happen.)

I just want this thing to run Oblivion at very high, and play some newer games decently (Like GTA4, Civilization 5, and what not.)

I know for a fact that I need a new video card and I was aiming somewhere around a radeon 5600+ with that. Kind of want something that supports DirectX11, and has GDDR5. I'm not too technical with my weak little motherboard. Am I going to need a new motherboard, or will the system run well enough?

Yeah, I'm gonna have to throw in some new ram.

What do you guys recommend? I'm looking to spend under 400 bucks.

    Hmm if GTAIV wasn't on the table i would have suggested a cheaper X3 but in this case X4 makes sense so
