I am looking for the best mobo with:
mATX-ATX

PCIe 2.0 slot

AM3 socket

able to overclock(not necessary but would be nice)

I just got this one http://www.newegg.com/Product/Product.aspx?Item=N82E16813138316 used for $55 in anandtech's for sale forum. It has all the latest features and overclocks well; I had no problems flashing the bios with biostar's windows flash program.

hmm, I don't have USB 3.0 on my front panel for my case, is that gonna be a problem?

USB 3.0 is backwards compatable, and may be on the back ports only. Never used it for the front; most cases don't have it yet.
