New mobo and cpu not working together

I just bought this cpu http://ark.intel.com/products/27512/Intel-Pentium-D-Processor-820-(2M-Cache-2_80-GHz-800-MHz-FSB) and this mobo http://206.108.48.60/app/en/mb/introduction.php?S_ID=518&tab=3. They both have a TDP of 95W but I get an error saying "The max power of CPU is over 95W". Is the cpu running high or something. I don't really understand this stuff as this is my first build. :(

OK the issue is board supports Intel® Pentium® Dual core processors (which share the same microarchitecture as the Intel Core™ 2 Duos) and you have an Intel Pentium D processor (which shares the same microarchitecture as the Intel Pentium 4 processors only in a dual core). For the processor you would need to use a board with a 965P or 965G chipset or an earlier board. Or if you want to keep the board you would need to look at one of these processors they list http://206.108.48.60/app/en/mb/introduction.php?S_ID=518&tab=3 of which the processor you listed isn’t one of them.

I noticed that it wasn't in the list, but I figured since it all looked like it would work I could do it. I can get the computer to turn on and can bypass the message by hitting F10 as it counts down. The problem is that it keeps overheating when I try to install Windows 7 or XP. I have this heatsink: http://www.newegg.com/Product/Product.aspx?Item=N82E16835119092. In the bios I see temperatures of up to 65 C! I also don't like hitting F10 in the 10 seconds it gives me every time I turn it on. I also don't know if it will break the cpu which I got for $22 on newegg.
 
Yea the Intel® Pentium® D is a pain for heating using. I am not able to bring up the heatsink from your link but generally if you are still overheating after putting on a 3rd party HSF (heatsink/fan) than you want to try reseating it.
