I have an old IBM laptop, that is using the original Win95 OS. I have
no "restore" or any other OEM disks for it. I do have a desktop that
came with Win98SE (not an upgrade disk) Is there any way that I can get
rid of the 95 on the laptop and install 98SE and not lose existing
software on the laptop HD? or should i just go ahead and get an Upgrade
98 disk. Of which I dread having to buy!

Upgrade version's are the only way to keep the programs you have, and unless you
have >32MB RAM, I'd stick with 95. 98SE Upgrade is running about $50 on eBay.
Additionally, you'll have to upgrade the BIOS to really run 98 on anything old.

If I understand you correctly, you have a disk with full WIN98SE. You could
start the installation of WIN98SE on your laptop to see if it offers you a
choice of installs and abort the install if it does not. Bear in mind that
your licence for the desktop does not permit you to use that copy of Windows
on another machine unless you remove it from the desktop. My experience with
upgrade disks versus full versions is that the former asks you for proof
that you have the OS you're upgrading from.
