Matching mobo, memory and cpu speeds

I'm upgrading to a cpu (Intel 9400 Quad) from a 7300 dual do I need to upgrade my DDR2 800 to DDR2 1066

No. Most boards will only run at 800 fsb for the ram speed. A few will run at 1066 when overclocking the cpu. If in doubt, check your motherboard specs. In my opinion, it's not worth the extra cost unless you get a good price for your old ram, and ddr2 prices have come down, so it's not worth so much.
