Hello, I have 2 questions

I plan to have a Phenom II 955 BE and HD 5670 512 MB, will a 380W power supply sufficient for my CPU?

Second, what is a regulator and is it a necessary to have?

Yes that psu will be fine for your specifications.
It's a good quality unit with very good efficiency and ok voltage regulation.
