Need help, guessing its memory problem

This is my first post, please excuses me if my grammar is bad, as English is not my first language.

Here is my problem, around 4 weeks ago, computer started randomly freezes especially while am browsing the web. Well that is what I do most.
windows shows not responding, mouse still moving and clicks but wont responds till the freeze is over for like 2mins. and it will randomly happen again sooner later.
When its freezing, I dont think it is trying to load anything as I cant heard any loading noise or fan speeding up from the pc.
I have done virus, spyware, malware scans reg clean, updated drivers, googled, memtest and everything are fine. but still freezes, decided to format and reinstall windows.

Yes, freezes still not going away. I got two ram sticks, unplugged one boot into windows it works just fine with no freezes, just a bit slow as expected only 2gig ram.
Also tried switching the 2sticks around and using a spare from my brother's computer but still no luck.

ASUS P5Q-Pro, Intel Core2Duo CPU E8500 @ 3.16GHz, Nvidia Geforce 9800GTX+, 4Gig Ram DDR2, Windows 7 Ultimate 32bit
Everything is like 2+years old, except my HD is recent new maybe old model but brand new WD15EADS.

Please please please help me out, let me know if more details require.

Sounds like a memory compatibility issue. Do the two sticks of memory match in all respects? If not, then I'm guessing this is the source of the freezing.
