What is the best price/performance card out of these...

GTX 460 vs Radeon HD 6870. I currently run a Phenom 2 X4 Phenom 965. I have a budget of 300 and less. For the time being, I'm currently hesitating between a GTX 460 + a Razer Megalodon (Noise Canceling ftw, computer 10 inches away from my ears = painful to sleep after) or a Twin frozr II 6870, unless there's any other better price/performance of the non-reference 6870s.

both are similar in performance and price,its like nvidia vs ati fight,as i am nvidia fan i would suggest gtx 460 superclocked edition,the one from evga.

The 6870 is priced at 250-300.. and the Gtx 460 is priced at 250-... i'm not trying to be a ego-tastic guy here, but their not similar in price.

since noise is an issue, go with the twin frozr....it usually offers up 20db's quieter then stock, and another good 10-15 on temps, plus if you plan on overclocking you'll have some good head room due to the design and cooling.

I'm going to throw a wrench into your plans and propose the Gigabyte GTX 470 Superoverclock for $290 + free shipping + free copy of Mafia 2. It will easily beat either of your previous options, and performs up the the level of a GTX480 or GTX570. It also comes with a very quiet and effective Windforce cooler:
