Motherboard busted?

Firstly my system info:

MSI p45 Neo3-Fr
Q9550 EO
GTX 560ti 2Gb
4Gb OCZ Reaper 1066Mhz (I have couple of differents kits which I can swap around)
Samsumg 320Gb SATA
Windows 7 Home Premium 64bit

My problem:

Yesterday my PC suddenly crashed out of blue and it was unable to boot back to Windows. It always crashes/freezes during POST or Windows loading screen. Things I have done:

-Cleared CMOS with the jumper
-Checked cable connections
-Checked if RAM is ok (tried different kits, two sticks, one stick)
-Disconnected everything except one stick of memory, CPU and video card and tried booting
-Diagnosed HDD with another PC using "SeaTools DOS" from bootable disc (my PC would not even make it to boot menu without freezing up) and it passed all tests.

Anything else I could do? Or should I just RMA my mainboard which still has warranty left or could the proble lie somewhere else?
