If you are going to overclock Sandy Bridge you need a K chip with a P67 or Z68 board.
The things you list are all good items choosing between is a personal preference and of course based on budget. I5 2400 on a H67 board would be a massive upgrade from your current setup so basically it is yours to decide how much money you want to spend.

If you don't plan on OCing much, grab the i5 2400 instead. The 2500k won't be much faster at stock speeds, however with that Hyper 212+ you can EASILY hit 4+ghz with it. Personally I'd OC and buy the 2500k, but that's up to you.

I'm a fan of the Gigabyte boards, but none of those boards are bad picks. I'd say stick with a P67 or Z68 board rather than H67...

Out of the memory you listed there, go for the Corsair Vengeance. It's nicer stuff in my opinion, and looks to be close in price. 4gb is plenty! 8gb will barely make a difference - better to put that money towards your video card or an SSD etc.

Overall though, looks like a decent setup!
