Need advice with upgrading my Gaming computer

I need my advice with upgrading from my first build. First build was two years ago and was more of a learning project than anything else.

First Build
Case: Antec 900 series
CPU: Pentium D Dual core @ 3.00 GHz
OS: Windows 7 Home Premium 32 bit
RAM: 6 GBs DDR2 (2.75 GBs usable, 32 bit go figure)
Optical Drive: LG DVD-RW SATA
Hard Drives: 320 GB SATA and 80 GB SATA
MotherBoard: BFG 680i SLI
Power Supply: Thermaltake Blackwidow 400-500W (hate this PSU, no fan built in, a real bad heat source.)
Graphics Card: BFG Nvidia 880GT OCX with Therointelligence (Later upgraded to PNY Nvidia 460 GTX)

What I plan on doing is upgrading my build by replacing a few parts and using the rest.

CPU and RAM with: Intel Core i5-2500K and G.Skill RipjawsX series 8GB (2 x 4GB) combo
OS and Motherboard with: Microsoft Windows 7 Professional SP1 64-bit and ASUS P8P67 PRO (REV 3.0)
Power Supply with: Antec EarthWatts EA750

Total price for the upgrade is $706.95
The maximum I'm really willing to go is $750

I want to use this computer for gaming mostly(BFBC2, Source games, and GTA IV), video editing, and streaming videos

  2. Thats what I was hoping. This Pentium D seems to me to be majorly bottle necking my system
