Need help on deciding Mobo and CPU

So im in need of a new mobo and CPU

Im currently using an
Intel Duo E6850
Asus P5K-E
Sapphire 6850 Toxic Edition
4x2Gb Kingston DDR2 @ 400Mhz

I was thinking of switching to AMD and getting the AMD Phenom II X4 965 3.40 GHz Processor - Quad-core

or finding a CPU for the EVGA P55V SLI Motherboard

and just to confirm that my 6850 will work in the motherboard
