Upgrading Motherboard

So I've decided to upgrade my motherboard and CPU. I've got my heart set on the i5 2500k for 169.99 USD from a local retailer.
I do quite a bit of gaming, and do like to overclock, probably going to OC the cpu out of the box. I don't have a ton of money to spare on a motherboard, and must keep the price below $150. Two major things I'd like to get out of this motherboard is digital audio out on the IO, and the ability to run SLI/CrossFire in the future.

My current system specs:

AMD FX-4100 BE @ 4.3GHZ
Gigabyte 78LMT-S2P mATX Motherboard
8GB G.Skill 1333mhz RAM
EVGA GTX 670
Corsair HX850
Crucial m4 256GB SSD
Seagate Barracuda 500GB

Another question is how much overclocking headroom do I have on the 2500k with a stock heatsink & fan?

I don't have a particular preference as to brand of motherboard, I'm aware that asus somewhat dominates the world of motherboards.
