No boot PC

I have a modern PC in my office & an old PC in my house .
A Shuttle MV43V v7.3(ofcurse with a active LAN port !) with a 400 MHz ddr1 (1G) & a 100MHz celeron CPU .

I want to upgrade CPU to 2.8 P4(133MHz) or 3.06GHz (H_T supported) .

I do base on manual but system does not work . then I wanna upgrade amibios from 1.4 to a newer version but I forgot clear the cmos & unfortunatly el. curr. cutted suddenly . 15 min after I start PC . all the fans drives & leds work but does not boot .

I check POST & it works very good . Can I boot my sys. or forgot it.
Please guide me . One of my friends has flashtools but he cannot work good .

I have an image & also backup & bootable flash M. & also the several floppy .

Can u reset the BIOS?
Reset the CMOS memory the right way as is described in the motherboard manual using the clear CMOS link with the power cord unplugged.
And when the battery is out, press the power button to discharge all the electricity from the system.
