Intel core 2 duo e4500 to amd

Hello,
I am trying to update my old pc hardware and I'm wondering what I'd have to do to upgrade from a intel core 2 duo e4500 to a AMD phenom ii x4 965 be. What would I have to buy? What would I have to do? I have win7 64bit. Anything I should know? Do I need a new mobo?

A new motherboard and DDR3 memory. Possibly a new PSU if yours is not powerful enough.
