New cpu for Flight Sim X

I am wanting to build a new pc for flight simming. My current setup is aging and i have upgraditis. Here is my current setup:

Q6700 normal clock
GTX 465
8GB DDR2
750GB HD
650PSU


The only thing i want to buy is new ram, new mobo, and obviously a new processor. I will use the PSU, gfx card, hard drive, and case from my old setup. I want to keep this under $300-$350 if possible. I could not run FSX without freezing on my old AMD Anthlon 2.0 ghz with 1gb ram and a 9600 AGP 128mb video card. I run FSX at close to full speed on a Pentium 4 3 ghz an old Dell Dimension and 2GB ram with the 8400GS video card with 512mb. I would look for something running the processor over 3.0ghz. Seems like Flight Sim X uses the CPU like crazy.

no duh, first gen athalon was the worst

and when it comes to playing fsx on max with ~30 fps, i dont think your going to find everything on your list
