CPU dead?

Short version :
My computer turned off one night and would not boot back up. When I reset the power cable I got a split second flash of power. Got a new PSU, it powered everything but my motherboard showed a code of 00 and would not boot. My motherboard had problems before so I RMA'd it. Got the new motherboard...still showing a code of 00 and not booting. Tried both my old PSU and my new PSU...same problem.

My CPU is a 2500K. I had it set to a 44x multiplier with a voltage of 1.3. Never saw the temps go above 70...and mostly during gaming it was in the mid 50s. Could it have gone out? Any way to be sure?

Can you boot into the BIOS? If not, try clearing the CMOS and try a different multiplier, preferrably lower. It may be because your motherboard is unable to handle a 4.4 GHz clock.

Well it's a brand new RMA motherboard with default settings. It won't let me boot in BIOS at all. Shows code of 00 which even the manual says is unused and the same as my previous motherboard showed.

i5 2500K@4.4GHz
ASRock Extreme 4
2x4GB Ripjaw x DDR3 1600
GTX 560Ti
Corsair HX620W (new PSU Corsair GS700W)

I also forgot to say, I tried each stick of RAM individually as well as in different slots. It seems unlikely both sticks of RAM would have gone out.

I unplugged everything and only left the 24 pin and 8 pin connections in my MB and left the video card in. Still showing 00 on the MB code and not booting.
