PC shuts down randomly without warning

My PC shuts down randomly without any notification.

My PC details are

Processor Intel Core 2 Duo E7500
Motherboard Intel DG41RQ
Hard disk Seagate 1 Tera Byte
HP DVD-RW
2 GB Kingston RAM Stick
350 W Power Supply

When i tries to run any ram checking utility like windows memory diagnostic or Memtest86+ , the PC shuts down instantaneously. Is my ram faulty? or it is because of malfunctioning power supply.
