Vengeance has a better heatsink so you can OC but not by a 'large' margin.

In stock performance will be around the same

Vengeance also comes in 1.35v versions (DDR3L) ivy bridge supports this type of memory.

XMS 3 is also much older

I'm not a fanboy of the XMS3 series because I see more issues with those kits. I realize the newer XMS3's are better than the older XMS3's. Therefore, my top preference is the Dominator series if you want to exceed Rated Frequencies/CAS and Vengeance both LP/Standard if for Rated only.

The Dominator series has superior IC's.
