Which motherboard should I get Asus LK or Gigabyte UD3H?

Right now I am considering between two motherboards for my new build, the ASUS LK and GIGABYTE UD3H? Which motherboard should I buy? Currently the ASUS LK on newegg is 150 with rebate 130 AND a 20 dollar promotional giftcard at purchase!!! The GIGABYTE UD3H is 150? So basically, the ASUS LK is 110 while GIGABYTE UD3H is 150. PLEASE HELP!!!!

Will both motherboards be able to fit a cooler master hyper 212 evo and 16 gb of ripjaw ram? http://www.newegg.com/Product/Product.aspx?Item=N82E16820231429. I already purchased the ram because it was 50 dollars.

I am currently leaning towards the ASUS LK because its cheaper (rebate and giftcard). Can someone persuade and justify the extra 40 dollars for the UD3H? If not im going to get the ASUS LK.

THE PROCESSOR I PURCHASED IS I5 3570k!!!
