Gigabyte GA-P35-DS3L Motherboard / Patriot 8500EL Series memory issues

Ok I just updated CPU from an older Duo Core, to a Quad core. My mother board is compatible, bio's updated, yet no OS will load. I've tried my windows install and a Linux Live CD. I've attempted to reset the cmos to no avail, any suggestions?

(If I replace the only CPU it works great, did I get screwed on a bad processor?)

Err Old processer, as soon as I replace it,
it works. I've changed the bio's option. It gets to the point in which is comes time to load the OS, and simply HALTS, freezes and sits there.
