Which one of these ASRock motherboard is better?

Trying to decide the best motherboard for this CPU and GPU.

CPU: Intel Core i3-3220 Ivy Bridge 3.3GHz LGA 1155 55W Dual-Core Desktop Processor Intel HD Graphics 2500 BX80637i33220

GPU: SAPPHIRE Radeon HD 6850 1GB 256-bit GDDR5 PCI Express 2.1 x16 HDCP Ready CrossFireX Support Video Card with Eyefinity (100315L )


Here are the two ASRock motherboards i'm trying to decide upon, any advice?

Also the second one comes with 8 gigs of RAM for free, but i rather have better performance than free RAM.
