Memory without large heatsinks, is this bad?

I am bulding a PC with a ASUS Sabertooth Z77 motherboard, and I'll be overclocking the i7 3770k. In order to do this, I need a nice, large CPU cooler. The problem with this is the motherboard doesn't allow any room for large CPU coolers. The CPU cooler hangs over the Memory slots. I have learned that I need to get ram that is more "low profile" to fit under the cooler.

Is it bad that these two sets of RAM are exactly the same, but I'll be getting the ones without heat sinks?

Other than the lack of heat sinks, what are the differences?

Solution
Taller heatsinks is the only difference absolutely no difference in performance - the taller heat sinks sell better but provide no real benefit over short ones. IMO, you'll be fine with the lower profile heatsinks.
