2 x E5620 cpu - 400W PSW Too marginal?

I am building a dual cpu system with a SuperMicro X8DTI mobo, 2 E5620's into a SuperMicro 2U case with a 400W PSW. Obviously the case is designed for a single CPU.
There's 1 8-pin EPS. I am taking 2 molex leads to an 8-pin connector for the other CPU.

Aside from the CPU/RAM/Mobo load, I have 4 system fans and 2 Caviar Black drives. How much headroom is in a 400W PWS-401-24? It's only got 32A total on the +12 rail.

The TDP of the cpu's is 80 watt so they will usually draw less than that

The hard drives and fans will draw 25 watt or less combined


If the psu is good , and there is no graphics system to power it should work
