Is it overclocked? What CPU is it? What motherboard?
Steps to take if it's non overclocked:
1. Reinsert the CPU
2. Check for bent pins in the socket
3. Enter BIOS of you can, and check the heat and cpu speed
======================
Overclocked steps to take:
1. Go to stock clock
2. Set all voltage levels to the default
3. Restart?

Sounds like overheating CPU to me. Can also be memory.

I've had freezing issues (just around windows login or even as soon as POST) because of both of these issues.

Easier one to test is the RAM. If you only have one stick, move it to another slot and see if it freezes.

If you have more than one stick, take one out, see what happens, if it still freezes, take the other out and replace it with the later and/or try moving them to different slots. (trial and error)

If it functions with either or both sticks in all slots, then it may be your CPU overheating.
