ASUS M5A97 R2.0 vs Gigabyte 970A-D3

I've been checking this site for a while for my PC needs though this time i couldn't find something for this specific situation. I'm upgrading a gaming pc to the following and i don't know which mother board is best. Specs are:

CPU: Phenom ii x4 965 BE 125w
RAM: Patriot 8gb (2x4) 1866
GPU: SAPPHIRE AMD RADEON HD 6850
PSU: 650 watts.. cant recall the brand
Stock CPU fan.
Dont know what else to list, let me know.

Preferably a mobo under 100$ with medium OC capability (if i cant get that for under 100$ then ill have to settle) and 6 audio ports for surround ( center rear sides etc). I know amd recommends the deneb processors only handle up to 1333 ram but i heard they can run at 1600 so I'd like at least that. onboard video not required. These are what i came up with though i dont know which is best.

I'm a bit biased towards Gigabyte because i love their features like easy tune and their bios and the last asus mobo i got was cheap with poorly attached sata connectors.. I'd love some input on this, Thanks.
