If i chose the second option on the upgrading winXP install screen(the clean install option) is it the same as formatting my disc and doing a clean install?

No. It is more like reinstalling over the top of your existing sytem. There will be options during setup that do allow you to format...in this case yes, it would be the same as formatting and doing a fresh install.

I advise you to format and clean install when installing any OS.
