You have to remove the entire motherboard when replacing CPU right ??

to remove the cpu you have to remove the heatsink

but the only way to remove the heatsink is to pull the entire motherboard out ??

 
That really depends on the heatsink, with most stock heatsinks you can remove them without taking the board out of the case as AMD ones are simply clips to a plastic bracket on the front of the board, and Intel ones are push pins that lock into the board both of which can be done without taking the board out of the case, but often times it does make it easier if you remove it from the case as you are no longer working in confined quarters.
