What do you have currently and what CPU are you looking to buy? Not every CPU is compatible with the chipset your mobo uses, so that has to be checked before an answer can be given.

This CPU i am buying is compatible with my MOBO i already checked :), but as i'm going from a dual core to buying a quad core will i be able to use my current heatsink and fan that i use with my dual core. The reason i ask this is that the quad core that i am buying doesn't come with the heatsink/fan

Correct. In any case when the heatsink removed from any chip, be it GPU or CPU or any chip that actually employs heatsink, one must also change the thermal compound. If you insist not to, a bubble should be expected and some serious heat by near future, threatening the lifespan of the chip.
