MSI 970A-G45&fx-6100 No POST

I've been trying to build my new desktop, but having a trouble with MSI 970A-G45 & fx-6100 combo.

It would only POST 1 in about 30 attempts(turn on & off). I've RMA'd the mobo and memory twice already, but still shows the same symptom.

Through googling, I've found out that some people were having the same problem, but able to solve by updating the BIOS to 1.2, but mine was shipped with 1.2 already.

I am 100% that PSU,HD, and other peripherals are functioning properly because they all work if I use my old mobo,memory, and CPU.

I would appreciate any advice.

Could be a power supply problem... Unplug everything (HD, DVD, etc) and see if the behavior is the same with just the MB / CPU / MEM / PSU / KEYBOARD connected. It would be a good idea to try another PSU if things don't change.
