The bulk RAW processing is sweet. Probably worth the cost by itself. RAW
also has an automatic mode that gets you pretty close much of the time.
Many of the tools are upgraded.

Hmm, is it better or just as good as CS version w/plug-in?

Both CS and CS2 use plugins for raw processing. The CS2 plugin is more
feature laden including the ability to convert multiple files, and the file
browser of CS has become a separate program in CS2 with the ability to run
the ACR plugin itself, allowing raw processing of batches of files while
simultaneously editing others, something that's just not possible in CS.

$149 for the upgrade is a good deal.
