Worth Upgrading?

I'd like to upgrade my HTPC for some gaming:

MoBo: GA-MA78GM-S2H
CPU: AMD Athlon 64 X2 5200+
RAM: 4GB PC2-6400 DDR2-800
Video: ATI Radeon HD 5670

The MoBo is old, but I see an AMD Phenom II X4 960 for $150 and a Gigabyte Radeon HD 6850 for $150 on NCIX. Is this a worthwhile upgrade to get some decent gaming done, or should I abandon the MoBo?

Currently, I can play Skyrim pretty decently (looks and runs better than the PS3 for sure). I'm sitting back from a 42", so not sure I need to run at a really high resolution (currently at 1280x720).

Before you change CPU do an BIOS update. The video card is a decent one ( 5850 ).
