I have an old TiVo Series 2 that I've gutted.

I found an i7 2600k 95W 3.4GHz CPU on sale for $199, so I snagged it.

I was going to install that in the TiVo case with:

ASRock H67M-ITX motherboard

Original TiVo hard drive with an SATA adapter

The system won't be overclocked, but it will do tons of transcoding of video, some hi-def. Most of the video will be output on the network adapter via DLNA vs the HDMI of the motherboard.

The tiny Habey 120W PSU would work best for space constraints, but will it be enough power?

The TiVo case is the killer for power supply size.

Mostly video transcoding as a media system. Transcoding out to the network vs over the HDMI. So the CPU will run high for long periods of time with it.

The 95W of the CPU is just thermal power and not power usage right? Video is on the CPU?

Right.

i7-2600K (Max TDP of 95 W) overclocking power draw from the +12 Volt rails @ 100% CPU load :

@ 5.0 GHz 219 Watts (18.25 Amps)
@ 4.8 GHz 180 Watts (15.0 Amps)
@ 4.7 GHz 162.4 Watts (13.5 Amps)
@ 4.4 GHz 111 Watts ( 9.25 Amps)
@ 3.4 GHZ 86 Watts ( 7.2 Amps) <--- Stock Clock Speed

The power draw, for the CPU only, rapidly increases when the clock speed is above 4.6 GHz (i.e. it's more like an exponential increase).
