Yes. You have a 945 chipset which supports the P4D. You'll also need a bios that supports them so try upgrading to the newest bios before putting the P4D in there.

To be honest however both chips are slow by todays standards. Time for a new machine.
 
Probably not. I can't tell from your DXDiag but Pentium D processors are only available on the socket LGA775 platform whereas yours is probably socket PGA478. If you have an LGA775 motherboard then you might as well just throw a Core2Duo or Core2Quad in there instead. If you have a PGA478 board then you really need to upgrade

EDIT: Since you have a 945 chipset you can throw a Core2Duo in there which will be much better than a PentiumD. However it does not appear to support Core2Quad
