Hello,
Wanting to perk things up a bit but on a budget. Currently have the following;
Gigabyte GA-P35 DS3L
Intel C2D E4400
2x2GB A-Data DDR2 PC26400
Geforce 210 1024 PCI
Seagate Barracuda 1TB SATA 7200/32MB
Rosewill Green 80+ 530 watt
Centurion/Cooler master case
Win XP home (would like 7)

Can I do anything with ~$400.00
Any help would be greatly appreciated.

Toss the GeForce 210. Get the ASRock Extreme3 Gen3 Motherboard

the 6850
http://www.newegg.com/Product/Product.aspx?Item=N82E16814102948,
and the i3-2100
http://www.newegg.com/Product/Product.aspx?Item=N82E16819115078.

Totals ~$400 give or take $10.

That's probably the best you can do on that budget. This is not including OS. If you include OS, you would be over budget and not cut out for gaming.

best bet is just buy a new video card for now, and then save up for a new mobo/cpu/ram/OS

you can reuse your HDD and PSU, but don't tax the PSU too much, it's not that great, but passable

Any suggestions on RAM? How about a temp solution with new mobo, CPU, memory and win7. Re-use case, PSU and video?
