ASUS GTS 450 DC/OC vs ASUS GTS 450 DC

So I'm wondering which one of these cards to get, or which card would run better on my setup? Will the OC version run fine? Also I'd like to know how large the differences are between the two (I'd have to wait 2-4 weeks for the OC and the non-OC I could pick up today)

My setup:
Processor: Intel Core 2 Duo E6750 ~2666 MHz
Ram: 2 gb (going to upgrade to at least 4 gig)
Motherboard: Fujitsu-Siemens D2584-A1
Chipset: Intel Q35
PSU: Corsair 430W

I would recommend a better card such as a 6770, but the other one is factory overclocked.

So how would the fact that the 6770 is a PCI-E 2.1 card factor in to it? I only have pcie 1.0 x 16 slots. Would the 6770 work fine?
But to original question, how much better is the factory OC version of the GTS 450? And could it run on my setup.

save your money and get the non oc one, do they use the same cooler? Imo do the overclocking yourself.
