Proliant ML150 G3 2nd Xeon question

I've got a HP Proliant ML150 G3 Server with a Xeon E5345 in socket 1. I have another E5345 (tested in socket 1, works perfectly) however when I put it in socket 2 the system won't boot. Fires up, fans spin up slow for a second then back to full speed. No video, no BIOS, no POST.

Both CPUs are SLAEJ, matching stepping. I've got the last bios update that HP put out for it. HP spec sheet says that the 5300-series quad cores are supported.

Any one have any ideas as to why? Anyone else have this issue?
