Heat and motherboard

Would all of these things work? and if i OC the cpu (1,35w?), would the cpu cooler be able of keeping up 24/7 and lastly the motherboard is 30,5x21,48cm, but my case is made for 30,5x24,4 (the screwing holes) would it be useable?
