(home built) Upgrading some parts for gaming

I am looking to spend around $300-400 dollars.

Here's my current specs:

Nvidia 9800 GTX
Intel Core Duo 2.4GHz
750W power supply
1440 x 900 monitor

I mainly want to play Diablo 3 on max at this resolution. I don't need a monitor. I need to upgrade my processor (I Don't think I'll need a new video card, but I could be wrong). So I'd need a new motherboard, set of memory and processor for it (within my budget). I already have a case.

Any help is appreciated, thanks.

Again, I'm looking to run this game smoothly on max with 4 players. So I want something that can do that.

Your system is within the recommended requirements so you shouldn't have any trouble running Diablo III. If you want to max out your settings, you might consider an upgrade to what THE UNKNOWN posted. Also, you might consider upgrading your video card. I suspect that a GTX 550 or a Radeon HD 6750 would be able to run it on High to Ultra settings at your monitors rated resolution (that's just speculation though). My friend was running it on the beta test weekend at medium settings with a Radeon HD 6670 and he didn't notice any problems with stuttering or pauses.
