Usually the 805 is regarded as THE price/performance killer, good overclocker and overall good performer. PentiumDs are not bad but they're space heaters and if you want to OC them, tou've got to spend $$ on a good cooler.
For more performance, look at AMDs X2s; the 3800+ is good value and the upcoming 3600+ should be even better, priced around $120-130. They can OC at least a 200MHz (10%) on stock cooling, sparing tou the headaches of PD heat.
Another thing for which you should consider an X2 over a PD is C'n'Q, it gets important in a dual core.

I would also say the D930. the D930's overclock better, and actually perform at stock speeds. The D 805's perform terribly as far as I can tell (@ stock). Both of those can overclock to the heavens.

D930. The 930 when overclocked isn't going to need water to hit 4GHz.

As other have said, if you can afford the D 930, get it.

If you don't have a preferance on either AMD of Intel (or if you don't plan to get a Conroe for a couple years), go for the AMD x2 3800 for $160. It takes a PD 805 @ 3.33 GHz to equal its performance, and the 3800 should be able to clock up to 2.4 Ghz, making it competitive with a PD 805/930 at 4.0 GHz, while consuming a lot less watts. It all depends upon your personal preference towards AMD/Intel and whether you want to upgrade to Conroe soon.
