Why does my cpu run at 100 without any programs running?

Hello,
Im running an AMD Athlon(tm) 64 processor 3700+ 2.21 GHz
and its at 100% almost all the time, no programs are using anywhere near 100. This, of course, is causing immense lag for anything im doing from gaming to just opening up my documents. I am overclocking it byt quite a bit in an attempt to fix this but at this point i though id turn to the experts before destroying my computer by overclocking to much.

I would open up task manager and see what programs are running and ir you can start shutting down any that you don't want running to see if that gets the cpu to stop running at 100%.
